Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Cascade Digital Marketing ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

Cascade Digital Marketing provides digital marketing services including but not limited to:

  • Search engine optimization (SEO)
  • Pay-per-click (PPC) advertising management
  • Social media marketing
  • Content creation and marketing
  • Website design and development
  • Email marketing campaigns
  • Digital strategy consulting

Specific service details, deliverables, timelines, and pricing are outlined in individual service agreements or proposals.

3. Intellectual Property

All content, materials, designs, code, graphics, and other intellectual property created by Cascade Digital Marketing remain our property until full payment is received. Upon full payment, ownership of deliverables as specified in the service agreement transfers to the client.

Any pre-existing intellectual property, proprietary tools, methodologies, or frameworks used by Cascade Digital Marketing remain our exclusive property. Clients receive a limited license to use deliverables solely for their intended business purposes.

Clients grant us permission to use their brand materials (logos, images, content) solely for the purpose of delivering contracted services and, unless otherwise specified, to showcase work in our portfolio.

4. User Responsibilities

Clients agree to:

  • Provide timely access to necessary accounts, platforms, and materials
  • Respond to requests for information and feedback within reasonable timeframes
  • Ensure all provided content is accurate, legal, and does not infringe on third-party rights
  • Maintain confidentiality of any login credentials or sensitive information shared
  • Make timely payments according to agreed-upon terms
  • Comply with all applicable laws and platform policies in their use of our services

5. Payment Terms

Payment terms are specified in individual service agreements. Unless otherwise stated, invoices are due within 30 days of issuance. Late payments may result in suspension of services and may incur late fees. We reserve the right to require deposits or advance payments for certain services.

6. Limitation of Liability

To the fullest extent permitted by law, Cascade Digital Marketing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use our services
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from our services
  • Any bugs, viruses, or similar elements that may be transmitted through our services by any third party
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available

Our total liability for any claims under these terms shall not exceed the amount paid by the client for services in the preceding six months.

7. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. While we strive for excellence, we do not guarantee specific results from our marketing services, including but not limited to:

  • Specific search engine rankings
  • Specific amounts of traffic or conversions
  • Specific return on investment (ROI)
  • Compatibility with future platform updates or algorithm changes

We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Indemnification

You agree to indemnify, defend, and hold harmless Cascade Digital Marketing, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of our services or violation of these Terms of Service.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Pierce County, Washington.

10. Termination

Either party may terminate services with written notice as specified in the service agreement. We reserve the right to terminate or suspend services immediately, without notice, for:

  • Non-payment
  • Violation of these Terms of Service
  • Fraudulent or illegal activity
  • Abusive behavior toward our staff

Upon termination, clients remain responsible for payment of all services rendered through the termination date. Any prepaid fees for services not yet rendered may be refunded at our discretion.

11. Confidentiality

Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the course of the business relationship. This obligation continues after termination of services.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms. We encourage you to review these terms periodically.

13. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.

14. Entire Agreement

These Terms of Service, together with any service agreements or proposals, constitute the entire agreement between you and Cascade Digital Marketing regarding the use of our services and supersede all prior agreements and understandings.
